Terms of Service

These Terms of Service ("Terms") govern your access to and use of Nasher Studio (the "Service"), operated by Fadaat Media ("we", "us", "our"). By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you use the Service for an organisation, you confirm you are allowed to accept these Terms for it. If you don't agree, don't use the Service.

1. The Service

Nasher Studio helps newsrooms and teams turn news and data into posts, posters, videos and voice, with AI assistance, and publish them to the social accounts they connect. We may add, change or remove features over time.

2. Accounts and workspaces

• You must give accurate information and keep your password and any two-factor codes safe. You are responsible for activity under your account.
• Each workspace belongs to the organisation that created it. Its owners and admins invite members, set their roles and are responsible for how their team uses the Service.
• You must be at least 18 years old, or the age of majority where you live.
• Tell us right away at omar.hamama@fadaatmedia.com if you suspect unauthorised use of your account.

3. Plans, billing and usage

• Some features need a paid plan. Plans are billed in advance for each billing period through our payment processor (Stripe), and renew automatically until cancelled.
• Each plan includes allowances, such as members, posts and AI usage. When an allowance is used up, the related features pause until the next period or until you upgrade.
• You can cancel at any time. Cancellation takes effect at the end of the current period, and fees already paid are non-refundable except where the law requires otherwise.
• We may change prices or plans. We will tell you before a change affects your next renewal.
• Prices do not include taxes unless stated. You are responsible for applicable taxes.

4. Connected platforms

• When you connect a social account, you authorise us to use it to publish the content you choose and to read the results of those posts. You can disconnect it at any time.
• Your use of each platform remains subject to its own terms and policies, which you must follow, including Meta's terms for Facebook, Instagram and WhatsApp, TikTok's terms, X's terms, LinkedIn's terms, and the YouTube Terms of Service when you connect YouTube.
• Platforms set their own limits and may reject, delay, restrict or remove posts. We are not responsible for a platform's decisions.
• If your workspace connects through its own developer app keys, you are responsible for that app, its settings and its compliance with the platform's rules.

5. Your content

• You keep ownership of the content and data you provide and of the media you create with the Service ("Your Content").
• You give us a limited licence to host, process, transform and transmit Your Content only to run the Service for you, for example to render media and publish it where you choose.
• You confirm you have the rights to the sources, text, images, footage, music and voices you use, and to publish the result. Respect copyright and the terms of the news sources you import.
• You are responsible for Your Content and for what is published from your workspace.

6. Acceptable use

You agree not to use the Service to:

• publish content that is unlawful, infringing, defamatory, hateful, deceptive or that violates others' rights or privacy;
• impersonate people or organisations, or present fabricated material as real news;
• use voice or face features to imitate a real person without their permission;
• send spam or break the rules of any connected platform;
• upload malware, probe or disrupt the Service, or access it without authorisation;
• resell or share access to the Service outside your workspace without our written agreement.

7. AI features

AI output can be wrong, incomplete or unsuitable. It is provided for your review: check and edit generated text, images, voice and video before you publish them. You are responsible for what you publish. Don't submit content to AI features that you aren't allowed to share.

8. Third-party services

The Service relies on third parties, including social platforms, AI providers, stock-media services, hosting and payment providers. We are not responsible for their services, and your use of them may be subject to their own terms.

9. Availability and support

We work to keep the Service available and secure, but it may sometimes be interrupted for maintenance, updates or reasons outside our control. We don't guarantee that every post will reach a platform at the planned time.

10. Disclaimers

The Service is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

11. Limitation of liability

To the extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Our total liability for any claim related to the Service is limited to the fees you paid us in the 12 months before the claim.

12. Indemnity

You agree to defend and compensate us against claims arising from Your Content, your use of the Service, or your breach of these Terms or of a platform's rules.

13. Suspension and termination

You can stop using the Service at any time. We may suspend or end access if you breach these Terms, if your use risks harm to others or to the Service, or if payment fails. After termination, your right to use the Service ends, and we may delete your workspace data after a reasonable period. Sections that by their nature should survive will survive.

14. Changes to these Terms

We may update these Terms. We will post the new version here with a new "Last updated" date and, for significant changes, tell you in the app or by email. Continuing to use the Service after changes take effect means you accept them.

15. Governing law

These Terms are governed by the laws of the jurisdiction where Fadaat Media is established, without regard to conflict-of-laws rules.

16. Language

These Terms are available in English and Arabic. If they differ, the English version prevails.
